About the job

This is an exciting and broad role which offers the opportunity to interact with stakeholders across Triodos UK and the corporate group. They act as a trusted partner to the UK Board of Directors and are critical in supporting Triodos in delivering positive change to both people and the planet.

The Corporate Secretary is the key to providing logistical and professional support to our UK Board of Directors and Core Management Committee (CMC). They take responsibility for the effective operation of Board and CMC, including advising on, and implementing, best practice governance principles. They act as a key stakeholder in ensuring there is effective engagement between Triodos UK and our Corporate Group.

They offer legal and professional expertise to the business as necessary, and act as a representative of Triodos UK within our corporate legal function. They also have the opportunity to work closely with all business areas to co-ordinate and manage our internal policy framework and ensure there is a robust approach to delegations.

Key responsibilities:

- Ensure that the Board, Committees and Core Management Committee can operate effectively as governance and decision-making bodies

- Developing meeting schedules agendas, including forward agendas, coordination of meeting papers and briefing co-workers on requirements to ensure information presented to Boards and Committees meets regulatory and the needs of the committees

- Maintaining records of relevance to the Committees to evidence appropriate control, oversight, and documentation to support Senior Manager Functions

- Supporting the development of effective reporting frameworks and presentation of management reports to CMC and Board

- Identifying and driving enhancements to the internal governance and reporting framework for the management of the Board and Committees

- Leading on key governance functions for the Board including skills assessments, succession planning, committee structures, composition, diversity, and recruitment

- Coordinating and facilitating annual Board and Committee evaluation process to lead continuous improvement in effective governance

- Planning and coordinating board strategy, training and education programmes including induction

- Responsible for the administration and governance arrangements for all UK Triodos companies, ensuring compliance with legal and governance obligations, including with the Companies Act and Companies House and internal - governance requirements, implementing Banking best practice

- Shareholder engagement and management, including the advising on constitutional requirements for shareholder input on decision making and advising on the issuance and management of shares

- Responsible for advising on internal governance arrangements, such as application and maintenance of governance documents, governance frameworks, reporting frameworks, committee structures

- Advising on and supporting intragroup governance arrangements between the UK and Group/Head Office

- Lead the production of the annual report including coordination or drafting of relevant sections such as risk, corporate social responsibility, corporate governance report, directors' report, directors' remuneration report, statement of directors' responsibilities, taking input from relevant senior managers and departments

- Support the development, use and execution of standardised legal documentation, legal compliance of public information and application and oversight of general legal principles

About you

You take pride in your organisational skills and enjoy working under pressure to tight and conflicting deadlines. You must be confident and comfortable building relationships with colleagues at all levels within the business to help influence good board outcomes. You do this through well-developed interpersonal skills and strong communication skills (written and oral).

Previous roles and experience should mean you are comfortable with all aspects of Corporate Secretarial work, preferably within a highly regulated sector such as Financial Services. You will have a good knowledge of Corporate Secretarial practice and legal expertise, preferably within Financial Services. You will have in-depth knowledge of the regulations surrounding Corporate Governance and Executive Boards. Additionally, you will have experience in managing projects and supporting the delivery of change to the business.

Finally, you should be relevantly qualified for the role, you may be qualified as a Chartered Secretary or Governance Professional, Chartered Accountant or lawyer. However, if you have an equivalent of relevant professional experience you should also apply.

In return for your contribution, you will receive a competitive salary of up to £65,000 (depending on experience) plus access to our extensive benefits package, where most of our benefits are non-contributory! Our benefits include:
